Uncle Remus Saucy Fried Chicken, LLC (“Uncle Remus,” “Uncle Remus SFC,” “we,” or “us”) welcomes you to our Internet and mobile websites (“Websites”), Uncle Remus mobile application (“App”), and other tools (Websites, App, and other tools collectively referred to as the “Sites”). Before you use the Uncle Remus sites, download the app, or use any other tools, please read the following rules and understand that when you use the Sites, it means that you agree to follow the guidelines and conditions outlined below (the “Terms and Conditions”)

By accessing the Sites, and/or downloading, installing, and/or accessing the App, you agree that you have read and understand these Terms and Conditions (including the Privacy Policy), and consent to their contents, including the use of your information described herein. Use of the Sites, even if you disagree with or do not understand these Terms and Conditions (including the Privacy Policy), nonetheless constitutes acceptance of these Terms and Conditions and the Privacy Policy. We ask that if you do not agree with or understand these Terms and Conditions (including the Privacy Policy), or if you are dissatisfied with the Sites, please immediately discontinue use of and do not access the Sites.

Modifications to Terms and Conditions

From time to time, the Terms and Conditions of the Sites may change at Uncle Remus’s sole discretion, and any changes are effective immediately when posted on the Sites. Your continued use or access of the Sites indicates your acceptance of the revised Terms and Conditions. You should periodically review the Terms and Conditions to stay informed as to any revisions that may be applicable to your use of the Sites.

Your privacy is important to us. The information we collect about you is subject to our Privacy Policy, the terms of which constitute part of these Terms and Conditions and are incorporated herein. We encourage you to read our Privacy Policy to become familiar with its terms.

What The Uncle Remus Sites Contain

Our websites provide information about our various concepts, including Uncle Remus Saucy Fried Chicken, The UR Sauce Store, FoodPreneur Kitchens, KIP Food Safety, and The Rickette Foundation (known as the Uncle Remus Foundation). You can also find details about current promotions, contests, and everything related to Uncle Remus. Explore and place an order from the location nearest you. You can also apply for jobs with us. Additionally, you can use our sauce store to have our sauce shipped to your family and friends.

Use of Materials on The Sites

Unless otherwise noted, Uncle Remus owns or controls the copyrights and trademarks for all the photographs, illustrations, designs, icons, logos and written material (the “Contents”) appearing on the Sites. The Sites are also protected by copyright and trademark laws.

The trademarks, logos, and service marks (collectively, the “Trademarks” displayed on the Uncle Remus Sites are registered and unregistered Trademarks of Uncle Remus, LLC , its affiliates and others.

You may view, copy, display, print, or download the Contents and any downloadable materials in temporary storage on your computer for your own PERSONAL, NONCOMMERCIAL USE ONLY. You have no rights, title, or interest to any Contents or materials you download. You may NOT reproduce, distribute, change, display, re-create, publish, re-post, transmit, sell or otherwise use the Contents of the Sites without the prior written permission of Uncle Remus, which permission may be withheld in Uncle Remus sole discretion. Any unauthorized use of the Trademarks, images, photographs, illustrations, or Contents may violate these Terms and Conditions, as well as copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.

You may not use contact information provided on the Sites for unauthorized purposes, including marketing. You may not use any hardware or software intended to damage or interfere with the proper working of the Sites or to surreptitiously intercept any system, data or personal information from the Sites. You agree not to interrupt or attempt to interrupt the operation of the Sites in any way. You understand that engaging in this behavior may subject you to criminal and/or civil liability. Uncle Remus reserves the right, in its sole discretion, to limit or terminate your access to or use of the Sites at any time and for any reason without notice. Termination of your access or use will not waive or affect any other right or relief to which Uncle Remus or any of its affiliates may be entitled at law or in equity.

Your Communication to Uncle Remus

Uncle Remus appreciates feedback from customers and visitors to our Sites. Please be aware that anything you transmit or post--your suggestions, know-how, techniques, concepts, ideas, promotion, sweepstakes, and contest entries, and other submissions (“Comments”)--become the sole property of Uncle Remus. Uncle Remus is free to use for any purpose whatsoever, and without any compensation to you, any Comments you send to the Sites, including but not limited to publishing, or developing, manufacturing, and marketing products using such Comments, and your submission of Comments constitutes your consent of such use. Except as governed by our Privacy Policy, any communication or material you transmit to Uncle Remus Sites by electronic mail or otherwise, including any data, questions or answers, comments, and suggestions is, and will be treated as, non-confidential and non-proprietary. You agree that Comments you submit to the Sites do not violate the right of any other person. You also agree that Comments you submit do not contain libelous, unlawful, abusive, or obscene material. You agree that you are solely and completely responsible for the content of any Comments you make.

Uncle Remus Loyalty Program Terms

The following limitations apply to the Uncle Remus Loyalty Program V1

• Offers and Rewards have no cash value and are non-transferable.

• Offers and Rewards can only be used once.

• You are limited to One Offer / Reward Per Transaction

• Offers and Rewards are valid for pick-up orders, to go orders, orders placed on the Website or through the App.

• Offers only good up until the expiry date listed.

• Valid email address required to receive Uncle Remus emails and offers.

• Program, Offers, and Rewards are subject to change, and mat be modified or discontinued at any time.

• Guests may opt out of receiving emails and other offers from Uncle Remus by unsubscribing. To unsubscribe cluck on the unsubscribe link included in the email you receive from Uncle Remus.

• Birthday Rewards are sent out on the applicable day at 11AM Eastern time (for those who have provided their birthday). You can only receive the birthday reward once per 365 days. The birthday reward will automatically expire 1 week after their birthday at 11:59 PM on the 7th day.

• Guests also get a Welcome / Download offer which may change at any time.

Uncle Remus makes no representations or warranties about the Sites and the information contained therein. Your use and browsing of the Sites is at your own risk.

We DO NOT WARRANT THAT THE SITES, MATERIALS CONTAINED THEREIN, or servers that make the sites and material available, WILL BE ERROR-FREE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT USE OF THE SITES or any third party websites will allow you to obtain any particular results whatsoever.

Without limiting the foregoing, everything on Uncle Remus sites is provided to you “as is” and “as available” without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement, and all such warranties are expressly disclaimed to the fullest extent allowed by applicable law.

Please note that some jurisdictions may not allow the excluding of implied warranties, so some of the above exclusions may not apply to you.

Limitation on Liability

IN NO EVENT SHALL UNCLE REMUS OR ANY OF ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, REPRESENTATIVES, AGENTS, CONTRACTORS, SUPPLIERS, CONTENT-PROVIDERS, OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITES, BE LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR, OR A THIRD PARTY’S, USE OF, OR ACCESS TO, UNCLE REMUS SITES, REGARDLESS OF WHETHER UNCLE REMUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. TO THE EXTENT APPLICABLE LAW DISALLOWS THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE PRECEDING LIMITATION ON LIABILITY MAY NOT APPLY TO YOU. IN THAT EVENT, UNCLE REMUS TOTAL LIABILITY TO YOU FOR ALL LOSSES, DAMAGES, AND CAUSES OF ACTION, IN CONTRACT, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU PAID TO ACCESS THE SITES OR $100, WHICHEVER IS LESS.

Uncle Remus has not reviewed all of the websites that have linked themselves to the Uncle Remus Sites and is not responsible for the contents of any non-Uncle Remus pages or websites, or any other sites linked to the Sites. The inclusion of any link to such sites does not imply that Uncle Remus endorses or supports the sites. Your linking to any other off-site pages or other sites is at your own risk. If you want to link to the Uncle Remus Sites, you should contact support@uncleremususa.com before creating that link so the site may be previewed and approved by Uncle Remus. Uncle Remus does not allow the unauthorized use of its logos, trademarks, or other graphics to create links. Online Orders Using Mobile App

Uncle Remus may make available to you the opportunity to place an order online using the App. These Terms and Conditions apply equally to orders placed online using the App. Minimum order amounts may apply. In addition, there may be limits on the dollar value and number of orders that may be placed online using the App. Discounts, coupons and other offers may not be able to be combined with online ordering. Any applicable delivery fees, taxes and other amounts due in connection with an online order will be identified when the order is placed. You are responsible for payment of your order by means of a payment option made available through the App at the time of ordering. Uncle Remus uses third party vendors and may accept various third party services to process payments, to perform data analysis, audits, fraud prevention and monitoring, and to improve and expand our business activities. The Uncle Remus location identified when you place your online order is responsible for fulfilling your order and for any questions or other communications regarding your order. Online Ordering Provisions

• The customer is responsible for picking up their order at the location they placed it at which is shown on their receipt.

• For an order to be cancelled the Customer must reach out to Uncle Remus Support using the two methods available at https://www.uncleremususa.com/contact-us/home prior to their order being made for a refund.

• If a customer has an issue with their order they must reach out to Uncle Remus Support using the two methods available at https://www.uncleremususa.com/contact-us/home for a refund, re-make, loyalty credit, or other remediations.

Indemnity

You agree to indemnify, defend, and hold harmless Uncle Remus and all of its officers, directors, members, employees, and agents from and against any and all claims, suits, demands, proceedings, damages, losses, costs (including reasonable attorney’s fees), and expenses arising directly or indirectly out of or from your breach of these Terms and Conditions, and/or your activities in connection with your use of the Sites, your Comments, and your use of all other materials, features, or services made available through the Sites. Uncle Remus reserves, and you grant us, the right to assume the exclusive defense and control of any claims subject to your indemnification obligations hereunder.

General Provisions

Your access and use of the Sites is subject to the above Terms and Conditions, Privacy Policy, and other applicable laws. By accessing and browsing the Sites, you accept, without limitation or qualification, these Terms and Conditions, including the Privacy Policy, and acknowledge that the Terms and Conditions and the Privacy Policy (as may be amended from time to time) constitute the entire agreement with respect to your use of the Sites. Uncle Remus controls and operates the Uncle Remus Sites in Chicago, Illinois, United States of America, and makes no representation that these materials are appropriate or available for use in other locations. If you use the Sites from other locations, you are responsible for compliance with applicable local laws.

If any portion of these terms is held to be unenforceable, the unenforceable portion shall be construed in accordance with applicable law to the greatest extent possible, and the remainder of the provisions shall remain in full force and effect. Where not prohibited by law, any cause of action you may have with respect to the Sites must be commenced within one year after the claim or cause of action arises, or such claim or cause of action is barred. These terms will be governed by and construed in accordance with the laws of the State of Illinois, United States of America, without regard to its conflicts of law provisions. The sections of the Terms and Conditions (including the Privacy Policy) that are reasonably inferable to survive termination hereof (including but not limited to the Disclaimer of Warranties, Limitation of Liability, and Indemnity sections) shall continue in full force and effect beyond any termination of access to the Sites.
